Board of Directors
A board of directors is a body of elected or appointed members who jointly oversee the activities of a convention. It may also be called "the executive board" or simply "the board".
A board's activities are determined by the powers, duties, and responsibilities dictated by the organization's bylaws. Within some organizations, the board of directors may also serve as convention committee members, heads of departments, or convention staff. However, there is a legal distinction between membership of the board and these other roles.
Typical duties of the board of directors include:
- selecting the convention chair;
- governing the organization by establishing broad policies and objectives;
- overseeing financial resources including approving the annual budget;
- approving multi-year contracts and agreements;
The legal responsibilities of boards and board members vary with the nature of the organization, and the jurisdiction within which it operates. However, most states require a minimum of the following three officers:
